Freitas Leite Advogados and L O Baptista Advogados have helped the former shareholders of Brazilian food manufacturer Piraquê sell the company’s corporate capital to rival manufacturer M Dias Branco for 1.6 billion reais (US$488 million).
The purchaser relied on TozziniFreire Advogados.
The managing shareholders were private equity fund Gaudi FIP and the Colombo family, the latter owning the largest share with 39%. Four other families were minority shareholders in Piraquê and also sold their shares. The Colombo family and Gaudi agreed to take on all risk associated with the transaction in return for a higher price per share. This required a side negotiation between the managing shareholders.
The deal was signed on 29 January.
Piraquê is the leading biscuit manufacturer in Rio de Janeiro. M Dias Branco’s acquisition reinforces its strategy to expand its operations in the south-eastern and southern regions of Brazil.
